Invitation to the shareholders' meeting

Starting May 5, 2017, shareholders' meeting documents will be sent by postal mail to the shareholders entered in the company's shareholders' register. Please remember that the invitation to the shareholders' meeting does not in itself authorize you to participate in the shareholders' meeting or to exercise voting rights. For this, you are required to register in good time for the shareholders' meeting (see also: Participation). We ask that you fill in the documents we have sent you in accordance with your requirements and return them to the address indicated. To ensure your requests are implemented as quickly as possible, you can also use our Internet Dialog platform at www.telekom.com/hv-service. You must register by midnight (Central European Summer Time – CEST) on Wednesday, May 24, 2017 (deadline for registration) at the latest. We cannot accept registrations received after May 24, 2017 due to legal reasons.

If you have not received your invitation to the shareholders' meeting

Shareholders who were not recorded in the shareholders' register when the shareholders' meeting was convened, i.e., on April 20, 2017, will receive their invitation in additional dispatches. If you did not receive an invitation to the shareholders' meeting, please call our hotline at +49-228-181-55770 Monday through Friday, from 8:00  to 18:00 (except public holidays in Germany).

If you have received more than one invitation to the shareholders' meeting

In this event, you evidently have more than one securities account possibly even at different banks. In this case, you have been allocated more than one shareholder number. In order to be able to exercise all voting rights arising from your Deutsche Telekom AG shares in all your securities accounts, please use all registration forms provided to you to register each share portfolio. Please fill out the relevant forms individually (see also: Invitation to shareholders' meeting). If you would like to register via the Internet Dialog, you have to register separately for each share portfolio recorded under a different shareholder number.

Receipt of invitation to the shareholders' meeting despite sale of share portfolio

Only those shareholders recorded in the shareholders' register on the day of the shareholders' meeting are entitled to participate. If the shares are sold, then the shareholder will presumably no longer be recorded in the shareholders' register on the day of the shareholders' meeting and will therefore no longer be entitled to participate. This does not, however, always have to be the case. In particular, for processing reasons no changes in the share portfolio will be recorded in the shareholders' register during the period from Thursday, May 25, 2017 (inclusive) to the day of the shareholders' meeting, i.e., Wednesday, May 31, 2017 (inclusive). The status of entries in the shareholders' register on the day of the shareholders' meeting is thus identical to the status of entries following the last transfer on Thursday, May 25, 2017.

Counter-motions and nominations for election

Counter-motions within the meaning of § 126 of the German Stock Corporation Act (Aktiengesetz – AktG) and nominations within the meaning of § 127 AktG, together with the shareholders' name, the corresponding grounds (which are not required in the case of nominations), and any response by the Company's administrative bodies, will be published on the following website: http://www.telekom.com/gegenantraege
