Remuneration system Board of Management

The remuneration system of the Board of Management defines the framework conditions in accordance with which the Supervisory Board can grant the members of the Board of Management remuneration components.

The Supervisory Board has prepared the remuneration system in line with the regulations of the German Stock Corporation Act (AktG) in the version amended by the Act Implementing the Second Shareholder Rights Directive (ARUG II) as well as the recommendations for the remuneration system for management board members in Section G of the German Corporate Governance Code (GCGC) in the version dated December 16, 2019.

The Shareholders Meeting on April 7, 2022 approved the remuneration system for the members of the Board of Management with a majority of 94,46% of the votes cast.

A revised Board of Management remuneration system will be presented to the Shareholders' Meeting for approval in April 2025.
