This year Deutsche Telekom is giving its shareholders the choice of receiving their dividend in the form of shares instead of cash once more.

The Supervisory Board has approved the annual financial statements and the consolidated financial statements compiled by the Board of Management pursuant to § 172 AktG on February 24, 2016. With their approval by the Supervisory Board, the annual financial statements are adopted. Adoption of the annual financial statements and approval of the consolidated financial statements by the shareholders’ meeting pursuant to § 173 AktG is therefore not required. Rather, the annual financial statements, the consolidated financial statements, the combined management and Group management report, the Supervisory Board’s report and the proposal by the Board of Management on the appropriation of net income shall be made available and explained at the shareholders’ meeting without the necessity (with the exception of the resolution proposal for agenda item 2) for a resolution to be taken within the meaning of AktG.

Board of Management report on item 6 on the agenda: Report on the exclusion of subscription rights in the event of sale of own shares pursuant to §§ 71 (1) no. 8, 186 (4) sentence 2 AktG, as well as on the exclusion of any right to tender shares.

Starting April 26, 2016, shareholders' meeting documents will be sent by postal mail to the shareholders entered in the company's shareholders' register. Please remember that the invitation to the shareholders' meeting does not in itself authorize you to participate in the shareholders' meeting or to exercise voting rights. For this, you are required to register in good time for the shareholders' meeting (see also: Participation). We ask that you fill in the documents we have sent you in accordance with your requirements and return them to the address indicated. To ensure your requests are implemented as quickly as possible, you can also use our Internet Dialog platform atwww.telekom.com/agm-serviceYou must register by midnight (Central European Summer Time – CEST) on Wednesday, May 18, 2016 (deadline for registration) at the latest. We cannot accept registrations received after May 18, 2016 due to legal reasons.

If you have not received your invitation to the shareholders' meeting
Shareholders who were not recorded in the shareholders' register when the shareholders' meeting was convened, i.e., on April 14, 2016, will receive their invitation in additional dispatches. If you did not receive an invitation to the shareholders' meeting, please call our hotline on +49-228-181-55770 Monday through Friday, from 8:00  to 18:00.

If you have received more than one invitation to the shareholders' meeting
In this event, you evidently have more than one securities account possibly even at different banks. In this case, you have been allocated more than one shareholder number. In order to be able to exercise all voting rights arising from your Deutsche Telekom AG shares in all your securities accounts, please use all registration forms provided to you to register each share portfolio. Please fill out the relevant forms individually (see also: Invitation to shareholders' meeting). If you would like to register via the Internet Dialog, you have to register separately for each share portfolio recorded under a different shareholder number.

Receipt of invitation to the shareholders' meeting despite sale of share portfolio
Only those shareholders recorded in the shareholders' register on the day of the shareholders' meeting are entitled to participate. If the shares are sold, then the shareholder will presumably no longer be recorded in the shareholders' register on the day of the shareholders' meeting and will therefore no longer be entitled to participate. This does not, however, always have to be the case. In particular, for processing reasons no changes in the share portfolio will be recorded in the shareholders' register during the period from Thursday, May 19, 2016 (inclusive) to the day of the shareholders' meeting, i.e., Wednesday, May 25, 2016 (inclusive). The status of entries in the shareholders' register on the day of the shareholders' meeting is thus identical to the status of entries following the last transfer on Thursday, May 19, 2016.

Counter-motions and nominations for election
Counter-motions within the meaning of § 126 of the German Stock Corporation Act (Aktiengesetz – AktG) and nominations within the meaning of § 127 AktG, together with the shareholders' name, the corresponding grounds (which are not required in the case of nominations), and any response by the Company's administrative bodies, will be published on the following website:

Participation certificate (certificate for tax return)
You can print out any participation certificate you require for your personal income tax return at the information counter. You will need your voting card pad for this, which you hold under the scanner of the terminals provided for this purpose. A participation certificate will then be printed out immediately for you. If you forget to print out a participation certificate before you leave the meeting, you can also request one afterwards from the Investor Relations department at Deutsche Telekom AG in Bonn. In order to issue this certificate, we need to know the number on your voting card pad, as we can only verify participation using the list of persons present.

If, a few days before the shareholders' meeting, you have still not received the ticket you ordered, please contact our hotline immediately at +49-(0)228-181-55770.

If we receive your registration after midnight (CEST) on May 18, 2016 (deadline for registration), we are not allowed to issue any more admission tickets. Due to legal reasons we are not permitted to process orders for admission tickets received after this date. It will also not be possible to issue you an admission ticket during the accreditation process. Ordering multiple admission tickets
Please understand that, due to the sharp increase in registrations for our shareholders' meeting over the past few years, we only issue one admission ticket per shareholder as a rule.

If you have registered on time, but have not yet received a ticket
Shareholders who register on time, i.e., by midnight (CEST) on May 18, 2016, and who have not received an admission ticket, can still attend the shareholders' meeting. The admission ticket has then merely not reached the recipient (in time) by mail. Shareholders who register on time are, however, included in the list of registered participants. If this is the case, a replacement admission ticket can be issued at the special tickets counter in the LANXESS arena. You can view the current status of your registration in the Internet Dialog at http://www.telekom.com/hv-service If you are in any doubt, please contact our hotline (+49-(0)228-181-55770).

Can I print out my admission ticket directly once I've ordered it online?
Our Internet Dialog facility provides you with a flexible, convenient way to order tickets for yourself or a proxy online and to print them out directly. To do so, simply select the option "Print admission ticket" when ordering your ticket in the Internet Dialog.

Do I need special software to be able to print out an admission ticket ordered online?
To open the admission ticket on your computer, you need Adobe Acrobat Reader. Acrobat Reader can be downloaded free of charge at www.adobe.de.

I can only print black and white.
The admission tickets are generated and displayed in color, but if you do not have a color printer you can of course print your admission ticket out in black and white.

Is the transmission of my personal data to print out my admission ticket secure?
Your connection to the server used for the shareholders' meeting services offered by Deutsche Telekom is established via an SSL (Secure Socket Layer) with 128-bit encryption. This offers the maximum possible security, i.e. none of the personal data necessary to print out the admission ticket can be viewed by a third party over the Internet during the session.

Lost tickets
Please check with our hotline (+49-228-181-55770) to find out if you are listed as being registered to participate in the shareholders' meeting. If this is the case, we can issue you with a replacement ticket on the day of the meeting. Please go to one of the special tickets counters.

Issuing proxy authorizations and voting instructions to Deutsche Telekom AG's proxies
a) Issuing proxy authorizations and voting instructions by postal mail together with registration (return in enclosed envelope)

If you wish to authorize an official proxy of the company when registering, please fill in the registration form. Please select 2a on the form and fill in 2a and the rest of the registration form. Please remember to sign at the bottom and do not forget to issue your voting instructions on the voting instructions form. You can then send the registration form, including the voting instructions on the voting instructions form, back to us by mail using the enclosed envelope. Please note that in this case we must receive the registration form by midnight (CEST) on Wednesday, May 18, 2016 (deadline for registration). Due to legal reasons we cannot process any documentation received after this date.

b) Issuing proxy authorizations and voting instructions by fax together with registration (fax all required pages)

c) Authorizing and issuing voting instructions via the Internet Dialog

You can also use our convenient Internet Dialog at www.telekom.com/agm-service to authorize proxies and issue voting instructions to the Company's proxies. For further information about our Internet Dialog, in particular for using the Internet Dialog, please read our Information on Internet Dialog.

d) Necessity of issuing instructions

Please note that the company's proxies will only make use of your proxy authorization if they have received specific instructions on how to vote. In this respect, they will only take into account voting instructions regarding motions for resolution announced in the invitation as well as certain counter-motions and nominations for elections made public under §§ 126, 127 AktG. In particular, voting instructions regarding making spoken contributions or asking questions or proposing motions or raising objections will be ignored.

e) Subsequent changes to voting instructions already issued

You may change any instructions you have given to the proxies of Deutsche Telekom AG until just before voting takes place at the shareholders' meeting; you will be informed in the Internet Dialog when voting instructions can no longer be issued. Please note that if the proxy authorization granted to the Company's proxies is revoked, it will not be possible for the Company's proxies to vote according to your instructions.

Authorization for a financial institution or shareholders' association
If you wish to authorize a financial institution or shareholders' association (or persons legally equal to them) to be your proxy, please inquire whether and on what conditions the financial institution / shareholders' association is prepared to represent you and to exercise your voting rights. Please use the application form under 2b to provide a proxy authorization for a financial institution or a shareholders' association. Please note that in this case, the registration form with the authorization must reach the financial institution / shareholders' association with enough time for the institution / association to register with the company as required by midnight (CEST) on Wednesday, May 18, 2016.

If the bank is not prepared to exercise your voting rights, it is possible to authorize the proxies stated in subsection (2a), according to the terms specified therein, to vote in accordance with your instructions as given on the voting instructions form, provided that this form is duly forwarded to the Company (this sentence can be deleted on the form if not required).You can, however, authorize a financial institution or shareholders' association using the online service of the registrar of our shareholders' register via the Internet. The relevant links can be found in the Internet Dialog.

Insofar as the requirements stated under "Conditions for attendance and exercising voting rights" are fulfilled, shareholders can choose to cast their vote by post without attending the shareholders' meeting. Shareholders casting their votes by post can do so either in text form (§ 126b BGB) sent to the address, fax number or e-mail address specified for registration or via the password-protected Internet Dialog using the system provided for this purpose (subject to the requirements and restrictions stated under "Using the password-protected Internet Dialog") at the address stated above (http://www.telekom.com/hv-service)(postal votes). For administrative reasons, postal votes should be cast using the forms provided by the Company for this specific purpose (including electronic forms).

Postal votes can only be cast in respect of resolutions proposed by the Company's administrative bodies and published by the Company prior to the shareholders' meeting, but including any proposal on the appropriation of net income that is adjusted during the shareholders' meeting in line with the published proposal, and in respect of resolutions proposed by shareholders that were published by the Company prior to the shareholders' meeting on the basis of a minority request pursuant to § 122 (2) AktG, as a counter-motion pursuant to § 126 (1) AktG or as a nomination pursuant to § 127 AktG. Postal votes cast may be changed or revoked at any time up to and including the day of the shareholders' meeting, right up to shortly before voting commences.

Shareholders who use the postal voting procedure shall nonetheless be entitled to attend the shareholders' meeting, either in person or through a proxy.

Date and location of the shareholders' meeting
The shareholders' meeting of Deutsche Telekom AG will take place at the LANXESS arena, Willy-Brandt-Platz 1, 50679 Köln, Germany, on Wednesday, May 25, 2016, starting at 10:00. (CEST). Doors open at 8:00.

Traveling to the shareholders' meeting
Each shareholder is responsible for organizing his or her own trip to and from the shareholders' meeting. Please note that the admission ticket cannot be used to travel on public transport. Due to cost considerations, the costs of tickets to and from the shareholders' meeting and/or parking charges will no longer be assumed by the company. Nor will travel costs be reimbursed.

Parking lots
Please park in parking garages P1 and P2 and select the "Arena-Tarif" for EUR 5.50 at the payment machines on arrival. The "Arena-Tarif" is valid until 6:00. the next day. Due to cost considerations, the costs of tickets to and from the shareholders' meeting and/or parking charges will no longer be assumed by the company. Nor will travel costs and/or parking charges be reimbursed.

Emission sticker*
Please also watch for the current on-site signs and routing on the day of the shareholders' meeting. You should also note that in January 2008 Cologne introduced the low emission zone in which you may only drive if your vehicle has the appropriate emission sticker. Further information is available at http://www.umwelt-plakette.de.

Doors open
Shareholders and guests are welcome to enter the LANXESS arena from 8:00. onward. In order to avoid having to wait too long, we recommend that you arrive as early as possible. The shareholders' meeting will start at 10:00. with the opening remarks from the Chair.

School classes
The persons accompanying school classes are asked to be at accreditation with their school students at 9:30  at the very latest. The school classes are otherwise not permitted to enter until 11:00. This is necessary to allow quick access for shareholders and to ensure that the shareholders' meeting starts promptly.

Catering
Beverages will be available from 8:00 and various hot and cold snacks will also be offered later.

The entire shareholders' meeting service is available for the shareholders' meeting at http://www.telekom.com/hv-service. Here, you can use the Internet Dialog to order admission tickets or issue proxy authorizations and voting instructions. In addition, you can also create your own profile. Here you can edit your shareholder data for the shareholders' register or register to receive your shareholders' meeting invitation by E-mail. To do this you will need the access data that you received together with the invitation to the shareholders' meeting.

Shareholders' meeting live in the Internet
The shareholders' meeting will be broadcast in audio and video.
The voting results will be made available on the Internet after the outcome has been determined.

Where do I find my access data for the Internet Dialog?
Please log on using the access data (shareholder number and online password (OP)) that you will find (provided you have been recorded as a shareholder in the shareholders’ register at least two weeks prior to the date of the shareholders' meeting) on the page “Notes on registration and exercising voting rights,” which will be sent to you with the invitation to the shareholders' meeting. If you have already requested that documents be sent to you electronically, please enter your shareholder number and your personally selected password.

What do I do if I have forgotten my online password?
If you have registered to have documents sent to you electronically and have forgotten your personally selected password, the “Password forgotten?” link on the login mask for the Internet Dialog will take you to another entry mask. After you have entered your shareholder number and your registered e-mail address, you will be asked the security question you selected when registering to have documents sent electronically. If this question is correctly answered, a new system-generated online password for the Internet Dialog of Deutsche Telekom AG will be sent to your registered e-mail address.

Please note that this function will only be available for shareholders who have registered to have the shareholders' meeting documents of Deutsche Telekom AG sent electronically. If you have not registered to receive the documents electronically, please contact our hotline at +49 (0) 228 181-55770.

How can I register to have shareholders' meeting invitation sent to me bye-mail?
You can register via the Internet Dialog to have shareholders' meeting invitation sent to you by e mail. After successfully registering, you will receive the invitation for the shareholders' meeting by e mail starting in 2017. This is the quickest way to obtain information about the upcoming shareholders' meeting. You can, of course, cancel this service at any time and then receive your shareholders' meeting documents as usual by postal mail. It is quite simple to register at http://www.telekom.com/hv-service. To do this you will need the access data that you received together with the invitation to the shareholders' meeting.

How can I edit my registration data for having the invitation sent to me via e-mail?
If you would like to edit your registration data (e-mail address, online password, security question), please log on again with your shareholder number and your password at http://www.telekom.com/hv-service and change the relevant data.

How can I withdraw my consent to have the invitation sent to me via e-mail?
You can withdraw your consent to receive shareholders' meeting invitation by e-mail at any time at http://www.telekom.com/hv-service and logging in to Internet dialog.

How can I ensure that the e-mails I receive are encrypted?
If you would like to have your shareholders' meeting invitation sent by encrypted e-mail, we require a public PGP certificate from you. You can make it available to us atwww.telekom.com/hv-serviceAs soon as we have a valid PGP certificate from you, we will encrypt all e-mails we send to you in connection with your shareholders' meeting invitation.

How do I sign up to receive documents by e-mail?
Once you have entered your registration data atwww.telekom.com/agm-serviceon the Internet, we will confirm this by e-mail to the e-mail address specified by you. Activate your registration by clicking on the link in the e-mail. Only when you have done this will you be activated to receive your shareholders' meeting invitations via e-mail.
Please note that you must activate the service for e-mail transmission of the shareholders' meeting invitation within seven (7) calendar days. If you do not confirm your registration within this period, your registration data will be deleted in the interests of your own security. You will then have to register again.

What rules must be followed when registering groups of persons or legal persons?
If you, as a group of persons or legal entity, would like to register to receive shareholders' meeting invitations by e-mail, then the individual who applies for registration must have authorization from all members of the relevant group of persons or legal entity.

What browser do I need to use the Internet Dialog?
For security reasons, we recommend that you always install the latest version of the browser you are using. The Internet Dialog supports Internet Explorer from version 6.0 and Mozilla Firefox. These browser versions support all the standard features required to use the Internet services for shareholders such as SSL encryption. JavaScript is recommended but is not essential.

What are plugins?
Plugin modules are software programs that extend the capabilities of browsers. A plugin is installed on the hard disk in accordance with the instructions provided. Following their installation, the browser uses the capabilities of the plugins like any other integrated browser feature.

How is JavaScript used in the Internet Dialog?
On our website, JavaScript is mainly used to simplify navigation. On the day of the shareholders’ meeting, JavaScript will enable us to display the latest information on voting via Internet. In principle, however, it is possible to use it without JavaScript.

Does JavaScript have to be activated?
We recommend enabling JavaScript execution in your browser since, without it, you will not be able to use all the options offered by the Internet Dialog. In principle, however, it is possible to use it without JavaScript.

How do I activate JavaScript?
In the latest versions of Microsoft Internet Explorer, you will find the relevant setting on the Security tab in the Extras/Internet Options menu. There you must select “Internet” as the web content zone. Then click on the "Adjust level...” button under “Settings/Scripting/Active Scripting” to select the “Activate” or “Prompt” option. The latter option ensures that the user is asked to confirm each JavaScript or Active Scripting activity before it is executed.

In Mozilla Firefox you will find the setting under "Tools/Options" in the category "Content." Check the “Activate JavaScript” box.

Is the transmission of my personal data secure?
Your connection to the server used for the shareholders' meeting services offered by Deutsche Telekom is established via SSL (Secure Socket Layer) with 128-bit encryption. I.e. personal data such as passwords and so on cannot be viewed by any third party over the Internet during the session.

How safe is it to receive shareholders' meeting documents by e-mail?
E-mails sent on the Internet are normally not encrypted. We cannot guarantee security on the general Internet here. However, the shareholders' meeting invitation sent by e-mail do not contain any personal data. You can, of course, opt to have your shareholders' meeting invitations sent by encrypted e-mail. We will then require your public PGP certificate, which you can make available to us at http://www.telekom.com/hv-service

What is SSL?
SSL stands for Secure Socket Layer and is an extension to standard information transmission over the Internet. The function of this extension involves the exchange of an encryption logarithm and a session key between the Internet server and your own computer prior to transmission of the actual data. Only when this has taken place is the application data itself transmitted. It is encrypted in compliance with the previously "agreed" procedure and is therefore protected from access by third parties. Whenever a site is visited whose URL (Uniform Resource Locator) begins with https:// instead of the usual http://, it is potentially a secure site. Normally, SSL is transparent for the user. The first time a secure site is used by a web server, browser and server negotiate the requested or possible encryption. The defined encryption is used again for the following sites that are requested.

How does SSL work?
SSL uses certificates for authentication. Central offices in charge of the commercial operation of certification services manage the so-called root certificates that can be recognized by the browser (the key for recognizing these certificates is provided for the browser by the manufacturer). These certification offices grant temporary subcertificates to website operators confirming the authenticity of the services they offer. From a technical point of view, subcertificates are granted in accordance with the public key procedure. The encryption is initiated by the browser. It generates a session key that is sent to the server with the key that belongs to the certificate. This server, in turn, divides the key into a server key and a client key, sends the client key back to the browser and from then on encrypts the data with the server key in the exact same way as the browser does with the client key.

To check the encryption strength of the link to the Internet Dialog, please click on the lock symbol in the address or status bar in your browser.

Where can I inspect the shareholders' register?
Every shareholder has the right to information concerning the data about himself / herself stored in the shareholders' register. This data can be viewed in person at Deutsche Telekom AG's registered office at Friedrich-Ebert-Allee 140, 53113 Bonn, Germany, or written requests can be sent to Deutsche Telekom AG, Investor Relations, Friedrich-Ebert-Allee 140, 53113 Bonn, Germany. You will find your personal registration data in your invitation to the shareholders' meeting.

What personal data is stored in the shareholders' register?
The shareholders' register is maintained as an electronic database which is updated daily with buying and selling activities worldwide. The following data is stored in the shareholders' register: last name, first name, address, e-mail address (if given), shareholder number, share portfolio, date of birth.

Is the depositary bank entered in the shareholders' register on behalf of the shareholder?
In this case, the depositary bank is then the shareholder in relation to the Company and can order admission tickets for the number of customers it has. The depositary bank can then authorize its customers to participate in the shareholders' meeting and exercise its voting rights. Depositary banks that are listed in the shareholders' register on behalf of shareholders will send out the shareholders' meeting announcement in advance to their securities account customers.

How can I get my address changed in the shareholders' register?
The invitation to the shareholders' meeting contains a section marked "Update address for the Deutsche Telekom AG shareholders' register entry." Please fill this section out and return it to Deutsche Telekom AG. You can also change your address online by visitingwww.telekom.com/hv-serviceunder "Shareholders' register service."

Please do not forget to inform your depositary bank of any change of address. We have prepared a form for this purpose that you can download and send to your depositary bank. You should also be aware that only the depositary bank can arrange for the actual entry in the shareholders' register.

We can only change data already entered in the shareholders' register with your permission. We are also not able to make changes pertaining to the amount of shares held or the share ownership information.

What entries are made in the shareholders' register when I purchase Deutsche Telekom shares?
If the shareholder does not raise an objection, the depositary bank will arrange for the shareholder's data to be entered in the shareholders' register. It is also possible to enter a trustee. However, as far as Deutsche Telekom AG is concerned, only the person who is entered in the shareholders' register is considered to be the shareholder. Please remember that you will not receive any information from the company concerning the shareholders' meeting if you are not listed in the shareholders' register. However, some banks only arrange for the shareholder information to be entered in the shareholders' register at the request of their customer. If your securities account is held with a bank, please contact your depositary bank to arrange this.

The notice convening the Company's shareholders' meeting and the management's motions for resolution was published in the Federal Gazette on April 14, 2016. The actions of the Board of Management shall not be granted approval for the 2015 financial year.

It is the Board's task to ensure a responsible approach to the balance sheet item "personnel costs," which represents the largest item under operating expenses.

The Board of Management has acted in a manner contradictory to the requirements of prudent and responsible spending policy. By doing so, it has caused damages to the company, the shareholders and the employees.

Several thousand, mainly older, civil servants and non-civil servant employees are placed in transfer and placement organizations, without actually doing any work, for months and years, as a result of ongoing rationalization measures on the part of Deutsche Telekom AG that in many cases are impossible to comprehend.

Redundancy packages and other "pay-offs" are often implemented in an arbitrary, entirely non-transparent way, and in certain cases also go against the applicable legal provisions.

In addition, this group of people is under constant psychological pressure exercised by the Board of Management, which has a variety of consequences on their health, with the aim of forcing these individuals to leave the company.

The productive integration of these employees on gardening leave is only encouraged by the Board of Management at a rudimentary, marginal level. The productivity aspects of the situation are largely ignored.

Anyone who approaches the financial means of the company, the stakes held by the shareholders, and the employees, in this way, shall n o t have their actions approved."

Maßnahmen in Bezug zu Abfindungen und sonstigen "Trennungsgeldern" werden in vielen Fällen willkürlich und in undurchsichtigen Modi, im bestimmten Fall auch gegen geltendes Recht, umgesetzt.

Desweiteren wird dieser Personenkreis vom Vorstand permanent einem psychischen Druck mit diversen gesundheitlichen Folgen unterworfen, mit dem Ziel die Personen aus dem Unternehmen zu drängen.

Eine produktive Integration dieser von der Arbeitsleistung freigestellten Mitarbeiter/innen wird vom Vorstand nur ansatzweise und eher marginal vorangetrieben. Die Produktivitätsaspekte diesbezüglich werden weitestgehend ignoriert.

Wer auf diese Art und Weise mit den Finanzmitteln des Unternehmens, den Besitzanteilen der Aktionäre sowie den Mitarbeitern umgeht, darf   n i c h t   entlastet werden."

Angaben gemäß § 127 Satz 3 Nr. 1 bis 3 AktG:

Nach § 96 Abs. 2 Sätze 1 und 2 AktG muss sich bei börsennotierten Gesellschaften, für die das Mitbestimmungsgesetz, das Montan-Mitbestimmungsgesetz oder das Mitbestimmungsergänzungsgesetz gilt, der Aufsichtsrat zu mindestens 30 Prozent aus Frauen und zu mindestens 30 Prozent aus Männern zusammensetzen. Dieses Mindestanteilsgebot ist gemäß § 96 Abs. 2 Satz 2 AktG vom Aufsichtsrat insgesamt zu erfüllen. denn die kosten nur unnötig Geld und die Wettbewerbsmöglichkeit wird dadurch
gestärkt.

Es wird nicht nur die Wettbewerbsmöglichkeit am Markt gestärkt, sondern es
gibt die Gewissheit für den Vorstand, das Zufriedenheit und Motivation der Be-
schäftigten wächst, Arbeitsplätze werden sicherer, weil bei der Zielvorgabe
Kosten einsparen, die Beschäftigten mit eingebunden und beteiligt sind.“

 

Angaben gemäß § 127 Satz 3 Nr. 1 bis 3 AktG:

Nach § 96 Abs. 2 Sätze 1 und 2 AktG muss sich bei börsennotierten Gesellschaften, für die das Mitbestimmungsgesetz, das Montan-Mitbestimmungsgesetz oder das Mitbestimmungsergänzungsgesetz gilt, der Aufsichtsrat zu mindestens 30 Prozent aus Frauen und zu mindestens 30 Prozent aus Männern zusammensetzen. Dieses Mindestanteilsgebot ist gemäß § 96 Abs. 2 Satz 2 AktG vom Aufsichtsrat insgesamt zu erfüllen. Widerspricht die Seite der Anteilseigner- oder Arbeitnehmervertreter der Gesamterfüllung, so ist nach § 96 Abs. 2 Satz 3 das Mindestanteilsgebot für diese Wahl von der Seite der Anteilseigner und der Seite der Arbeitnehmer getrennt zu erfüllen.

Für die Wahl eines Aufsichtsratsmitglieds gemäß TOP 8 der Tagessordnung wurde der Gesamterfüllung durch die Seite der Anteilseigner- oder Arbeitnehmervertreter nicht nach § 96 Abs. 2 Satz 3 AktG widersprochen.

Der Aufsichtsrat der Deutschen Telekom AG setzt sich nach §§ 96 Abs. 1 und 2, 101 Abs. 1 AktG in Verbindung mit § 7 Abs. 1 Satz 1 Nr. 3 des Mitbestimmungsgesetzes von 1976 aus je zehn Mitgliedern der Anteilseigner und der Arbeitnehmer zusammen. In diesem müssen mindestens 6 Sitze von Frauen und 6 Sitze von Männern besetzt sein, um das Mindestanteilsgebot nach § 96 Abs. 2 Sätze 1 und 2 AktG (das heißt Zusammensetzung des Aufsichtsrats zu mindestens 30 % aus Frauen und zu mindestens 30 % aus Männern) zu erfüllen.

Derzeit gehören dem Aufsichtsrat auf der Seite der Anteilseignervertreter zwei Frauen und acht Männer und auf der Seite der Arbeitnehmervertreter fünf Frauen und fünf Männer an. Damit ist das Mindestanteilsgebot bei Gesamterfüllung unabhängig von der in der Hauptversammlung erfolgenden Wahl bereits erfüllt.

Reason: The T-Share was previously the "people's share" in Germany, and was mainly owned by shareholders who were, or are, Deutsche Telekom customers. The value of the T-Share is now light years away from its highest value, and the company is continually losing customers. One reason, among others, for this is the trickery, if not downright fraudulent methods, employed by Deutsche Telekom to obtain money from its customers. I was recently affected by this myself. This situation cannot, and must not be allowed, to continue! Or?"

Reason: The Board of Management has not taken action to ensure that a mechanism is established for the early identification of impending damage to the image of our Deutsche Telekom AG.

The urgent need for such a mechanism is shown, for example, by current developments related to a project on Rügen:

A highly visible landmark of the island is the historical broadcasting towers of the former coastal radio station Rügen-Radio Lohme, close to the UNESCO world heritage site of the Jasmund National Park, near the chalk cliffs; Deutsche Telekom is the property owner.

The grounds were long supposed to have been put to a new use. After major coastal erosion, the project was initially shelved, but a major solution has recently been sought. This is unrealistic as long as the coast beneath the major project remains unreinforced, say the residents. A citizens' initiative is protesting the development, 2/3 of the town's residents have signed a petition against the major tourism project, the media has reported extensively, the Landtag (state parliament) of Mecklenburg-West Pomerania has debated the matter, a referendum is planned, residents of the Baltic coast are coming together and hope to launch a people's initiative against major projects at the state level. Seit langem soll das Gelände einer Nachnutzung zugeführt werden. Nach einem großen Küstenabbruch wurde das Projekt zunächst auf Eis gelegt, zuletzt wird aber wieder eine große Lösung angestrebt. Diese sei unrealistisch, solange die Küste unterhalb des Großprojekts nicht gesichert werde, so Einwohner. Eine Bürgerinitiative macht gegen die Bebauung mobil, 2/3 der Einwohner des Ortes haben Unterschriften gegen das touristische Großprojekt geleistet, die Medien berichten umfangreich, der Landtag des Landes Mecklenburg-Vorpommern hat sich mit der Angelegenheit beschäftigt, ein Bürgerentscheid ist geplant, Bürger an der Ostseeküste sammeln sich und streben eine Volksinitiative gegen Großprojekte auf Landesebene an. Ein Imageschaden für die Deutsche Telekom AG und Schwierigkeiten bei der Realisierung anderer Projekte bahnen sich an. "The actions of the Board of Management of Telekom AG are not to be approved.

Reason:

The company's Board of Management bears responsibility for systematic deficits in customer communications. Although a "Code of Conduct" in the Group defines high standards, there is a failure to execute these directives. The damage to the company is significant in both material and idealistic terms.

The misconduct is characterized by the following regular, verifiable practices:

Inbound calls interrupted because call center agents hang up. Inbound calls interrupted after being put back on hold. Use of anonymous names. Refusal to disclose a ticket ID. Refusal to disclose the call center location. In conflict situations, the call centers are told to cease communications. Employees cannot be reached or refuse to call back in writing. The secrecy of correspondence is violated. The "Tel Me" whistleblower portal cannot be reached through Group headquarters.

Deutsche Telekom not only has the word ....in its name – it lives primarily from the communication of its customers. The demonstrated practice contradicts its own business model.

Moreover, the illustrated misconduct shows the deeply troubled relationship between Deutsche Telekom AG and its customers and its own business model.

The Board of Management has both technical and organizational means at its disposal to mitigate these deficits. Since none of these means are being used, its actions are not to be approved."

Praxis konterkariert das eigene Geschäftsmodell.

Das aufgezeigte Fehlverhalten zeigt zudem das tief gestörte Verhältnis der
Deutschen Telekom AG zu seinen Kunden und zum eigenem Geschäftsmodell.

Dem Vorstand stehen sowohl technische wie auch organisatorische Mittel zur
Vermeidung dieser Defizite zur Verfügung. Da von diesen Mitteln kein Gebrauch
gemacht wird, ist die Entlastung zu verweigern."

I am left with the impression that the Supervisory Board and the management (Board of Management) are not in the slightest bit focused on achieving and paying out an adequate yield (share price performance and dividend payment).

This raises and leaves open the question of how this topic will be dealt with in the future.

Die Vorstellung der von der Verwaltung vorgeschlagenen Aufsichtsratskandidaten ist sehr mager. Unter/von einer notwendigen Vita für diese ansprechende Aufgabe ist etwas mehr Ausführlichkeit zu erwarten. Von einer Intension und Vision der Kandidaten ist hier schon rein garn ichts zu merken/nichts ausgeführt. Aber vielleicht kann dies auf der HV noch nachgeholt werden?

Es hinterlässt den Eindruck, der Aufsichtsrat und die Geschäftsführung (Vorstand) hat gar nicht im Sinn eine angemessene Rendite (Kursentwicklung und Dividendenausschüttung) für die Aktionäre zu erwirtschaften und auszuschütten.

Offen ist und bleibt die Frage, wie wird zukünftig mit den Themen umgegangen?

Ich bitte die Aktionäre mit mir gegen die Wahl der vorgeschlagenen Kandidaten und gegen die Entlastungen, siehe oben, zu stimmen.

All too often we hear, see or read of mistakes, unacceptable situations, ongoing unfriendliness in customer services or simply situations where "quite simply, nothing happens" in various media.
There is simply a lack of appropriate supervision on site of the "little man" by people sitting round big tables and/or raking in enor¬mous salaries.
In any case, no inspector has stopped by my place in the last 15 years to ask about mistakes or grievances.

3. Poor, in some cases miserable, commercial behavior that's not in line with what the practical situation calls for, but is straight out of a text book, is what defines the poor image of the management and supervisory bodies and the entire management.
Clearly incorrect bills should, according to the principles of an honest business, be canceled immediately with no ifs, ands or buts, and immediately prepared again correctly and replaced.
Yet all those who sit round the big tables simply attempt to sit out the mistakes and inaccuracies and, what is even worse, these deficiencies are simply tolerated by the auditors and the Sup¬ervisory Board.
But the customer isn't dependent on Telekom, he's certainly not one of its serfs, nor is he one of Telekom's banks, but he does pay the sa¬laries for the Telekom organization.
Those responsible at Telekom – the management and the administration – forget that they are in a service function because they're too busy cashing in their salaries.

4. Timotheus Höttges, his cohorts and courtiers should be dismissed immediately due to points 3 and 4.
Reason: failure to take appropriate measures to get Telekom fit as a company and improve customer service through supervisory measures on site, not just by sitting around big tables, thereby making Telekom one of the top telecommunications companies again.
Or has Mr. Obermann (who earns around € 2,700,000) ever tried to talk in person to a customer left in the lurch by Telekom and therefore to contribute to improving Telekom's (or rather, his Telekom's) poor image

5. Motion to appoint a new Board of Management that has not risen through the ranks of Deutsche Telekom, but should be brought in from the German service sector or German industry.
These ladies and gentlemen generally know what customers expect from Deutsche Telekom.

6. Termination of advertising activities with Bayern Munich.
The club and its players earn enough money to support themselves.
It's just not worth the money; the advertising on the shirts and the banners has hardly brought Telekom a single new customer.
That's what I think and I'm in no doubt that I'm right. A more beneficial form of advertising would be to make the money available to charitable associations and institutions, providing support for refugees and above all, and that's the main thing, to invest it in improving service.
That brings in new customers.

mir "blicken" lassen, um Fehler und Missstände zu erfragen.

3. Schlechtes, teils miserables, nicht wie es die Praxis eigentlich fordert,
sondern der Schulbank entspringendes Kaufmannsgebaren prägt das
Nichtansehen der Führungs- und Aufsichtsriege und des gesamten Ma-nagement.
Rechnungen, die eindeutig falsch sind, sollten nach alter Kaufmannseh-
re sofort und ohne wenn und aber storniert und sofort korrekt erstellt
und ersetzt werden.
Man versucht jedoch bei allen, die am "grünen Tisch" sitzen, die Mängel
und Fehlerhaftigkeiten einfach auszusitzen und was viel schlimmer ist,
diese Unzulänglichkeiten werden einfach durch die Prüfer und den Auf-
sichtsrat toleriert.
Der Kunde ist aber kein Telekom - Abhängiger, geschweige denn ein
Leibeigener und auch kein Kreditinstitut der Telekom, sondern der Ge-
haltszahler des Telekom - Apparates.
Die Verantwortlichen der Telekom - Führung und Verwaltung verges-
sen vor lauter "Lohn einstreichen", dass sie eine dienende Funktion
haben.

4. Wegen der Punkte 3 und 4 sollte die sofortige Entlassung des Timo-
theus Höttges, seiner Mitstreiter und Gefolgsmännern beschlossen
werden.
Grund, Unterlassung von entsprechenden Maßnahmen, die die Telekom
zu einem fitten Unternehmen machen und den Service gegenüber den
Kunden durch Dienstaufsicht führenden Maßnahmen direkt vor Ort und
nicht am grünen Tisch und dadurch wieder an die Spitze aller Tele-
kommunikationsunternehmen führt.
Oder hat sich Herr Obermann (Verdienst ca. 2 700000.- €) für dieses
Gehalt schon einmal bemüht, einen von der Telekom im Stich gelasse-
nen Kunden persönlich zu befragen und so dazu beigetragen, das uner-
freuliche Image der Telekom (oder seiner Telekom?) zu verbessern?

5. Beschluss zur Verpflichtung eines neuen Vorstandes, welcher nicht aus
der Telekom aufsteigt sondern, aus dem deutschen Dienstleistungs-
sektor oder der deutschen Industrie kommen sollte.
Diese Damen oder Herren wissen im allgemeinen was die Kunden von
der Telekom erwarten.

6. Abbrechen der Werbung bei Bayern München.
Der Verein und seine Spieler verdienen genügend Geld um sich selber
zu tragen.
Schade ums Geld, denn durch diese Trikot oder Bandenwerbung ist
wohl bisher kaum ein Neukunde für die Telekom geworben worden.
Ich behaupte das und habe mit meiner Behauptung garantiert Recht.
Werbewirksamer wäre, das Werbegeld gemeinnützigen Vereinen und
Institutionen, Hilfsaktionen und Hilfsprogrammen, Unterstützung der
Flüchtlinge, zur Verfügung zu stellen und vor allem und das ist der
Hauptpunkt, den Service zu verbessern.
Das wirbt Neukunden.

Nein, ich kann es nicht besser machen als die Verantwortlichen, aber ich

Do not approve the actions of the Supervisory Board and the Board of Management!!

Reasons for this proposal:

1. Lack of action to prevent customer desertion.

2. Lack of action to cushion the development of a poor image across all media. This has a strong impact on the price of the T-Share.
All too often we hear, see or read of mistakes, unacceptable situations, ongoing unfriendliness in customer services or simply situations where "quite simply, nothing happens" in various media.
There is simply a lack of appropriate supervision on site of the "little man" by people sitting round big tables and/or raking in enormous salaries.

3. Poor, in some cases miserable, commercial behavior that's not in line with what the practical situation calls for, but is straight out of a text book, is what defines the poor image of the management and supervisory bodies and the entire management. Clearly incorrect bills should, according to the principles of an honest business, be canceled immediately with no ifs and buts, and immediately prepared again correctly and replaced. Instead, however, they try to sit out the mistakes and omissions – and that is tolerated by the auditors and the Supervisory Board.
But the customer isn't dependent on Telekom, he's certainly not one of its serfs and he's not in the business of lending money to Telekom.
Those responsible at Telekom – the management and the administration – forget that they are in a service function because they're too busy cashing in their salaries.

4. Mr. Obermann, his cohorts and courtiers should be dismissed immediately due to points 2 and 3.
Reason: failure to take appropriate measures to get Telekom fit as a company and improve customer service through supervisory measures on site, not just by sitting around big tables, thereby making Telekom one of the top telecommunications companies again.
Or has Mr. Obermann (who earns about 2,700,000) ever deigned to talk in person to a customer left in the lurch by Telekom and therefore to contribute to improving Telekom's (or rather, his Telekom's) poor image?

5. Motion to appoint a new Board of Management that has not risen through the ranks of Deutsche Telekom, but should be brought in from the German service sector or German industry.
These ladies and gentlemen generally know what customers expect from Deutsche Telekom.

6. Termination of advertising activities with Bayern Munich.

The club and its players earn enough money to support themselves.

It's just not worth the money; the advertising on the shirts and the banners has hardly brought Telekom a single new customer. That's what I think and I'm in no doubt that I'm right.

A more beneficial form of advertising would be to make the money available to charitable associations and institutions, support campaigns and programs and above all, and that's the main thing, to invest it in improving service.

That brings in new customers.

No, I can't do it better than those responsible, but I wouldn't just sit at a big table, raking in my salary, I would be out supervising at grass roots level."

Gründe für diesen Vorschlag:

1. Es fehlen Maßnahmen zur Verringerung der Kundenflucht.

2. Fehlende Maßnahmen zur Eindämmung der schlechten Imagebildung bei den Medien aller Art. Dies beeinflusst stark den Kurs der T-Aktie.

Zu oft sind in den verschiedensten Medien Fehler, Missstände, lange andauernde Kundendienstunfreundlichkeiten oder auch „es passiert einfach nichts“, zu hören, zu sehen oder auch zu lesen.

Es fehlt einfach eine ordnungsgemäße Dienstaufsicht vor Ort, beim „kleinen Mann“ durch Leute, die „am grünen Tisch“ sitzen und/aber einen immensen Lohn einstreichen.

3. Schlechtes, teils miserables, nicht wie es die Praxis eigentlich fordert, sondern der Schulbank entspringendes  Kaufmannsgebaren prägt das Nichtansehen der Führungs- und Aufsichtsriege und des gesamten Management. Rechnungen, die eindeutig falsch sind, sollten nach alter Kaufmannsehre sofort und ohne wenn und aber storniert und sofort korrekt erstellt und ersetzt werden. Man versucht jedoch, die Mängel und Unvollkommenheiten einfach auszusitzen, was einfach durch die Prüfer und den Aufsichtsrat toleriert wird.

Der Kunde ist aber kein Telekom – Abhängiger, geschweige denn ein  Leibeigener und auch kein Kreditinstitut der Telekom.

Die Verantwortlichen der Telekom – Führung und Verwaltung vergessen vor lauter „Lohn  einstreichen“, dass sie eine dienende Funktion haben.

4. Wegen der Punkte 2 und 3 sollte die sofortige Entlassung des H. Obermann und seiner Mitstreiter und Höflingen beschlossen werden.

Grund, Unterlassung von entsprechenden Maßnahmen, die die Telekom zu einem fitten Unternehmen machen und den Service gegenüber den Kunden durch Dienstaufsicht führenden Maßnahmen direkt vor Ort und nicht am grünen Tisch und dadurch wieder an die Spitze aller Telekommunikationsunternehmen führt.

Oder hat sich Herr Obermann (Verdienst ca. 2 700000.- €) für dieses Gehalt schon einmal herabgelassen, einen von der Telekom im Stich gelassenen Kunden persönlich zu befragen und so dazu beigetragen, das unerfreuliche Image der Telekom (oder seiner Telekom?) zu verbessern?

5. Beschluss zur Verpflichtung eines neuen Vorstandes, welcher nicht aus der Telekom aufsteigt sondern, aus dem deutschen Dienstleistungssektor oder der deutschen Industrie kommen sollte.

Diese Damen oder Herren wissen im allgemeinen was die Kunden von der Telekom erwarten.

6. Abbrechen der Werbung bei Bayern München.

Der Verein und seine Spieler verdienen genügend Geld um sich selber zu tragen.

Schade ums Geld, denn durch diese Trikot oder Bandenwerbung ist wohl bisher kaum ein Neukunde für die Telekom geworben worden. Ich behaupte das und habe mit meiner Behauptung garantiert Recht.

Werbewirksamer wäre, das Werbegeld gemeinnützigen Vereinen und Institutionen, Hilfsaktionen und Hilfsprogrammen zur Verfügung zu stellen und vor allem und das ist der Hauptpunkt, den Service zu verbessern.

Das wirbt Neukunden.

"The dividend of EUR 0.50 per no par value share carrying dividend rights will be paid in cash on the day following the shareholders' meeting, May 16, 2014 (ex-dividend date)."

Reasons:

The option once again proposed by the Board of Management and the Supervisory Board of having the dividend paid out in cash or in the form of shares of Deutsche Telekom AG is intended solely to delay payment of the dividend to shareholders by almost an entire month. As the option of acquiring new shares is an unattractive proposition for shareholders, it can be assumed that – as was much the case last year – only a small number of shareholders will choose the stock dividend option."

"The actions of the members of the Board of Management for the 2013 financial year are not approved." Reasons:

Deutsche Telekom AG is subject to the German Corporate Governance Code and its own

"code of ethics for senior financial officers/MD/FD". The Group obligates its management, at all times and in every respect, to act honestly and ethically in connection with business affairs and when discharging their respective duties. Management must set the highest standards of conduct in its dealings with employees, investors, customers, and suppliers, as well as with public authorities at all of the company's sites.

The company does not, however, live up to this claim whatsoever.

In connection with the right of exchange of customers with contracts for D-Mark phone cards, the company is doing everything it can to make this legitimate entitlement as worthless as possible for customers. Unused credit remaining on the cards is transferred to unregistered "Umtauschkarten Plus" cards that offer no information for customers on how much credit is on the cards or how long they can be used for. The only place these data are saved is on Deutsche Telekom AG's systems, where they can be modified by third parties at Deutsche Telekom AG at any time without anyone knowing. Suchcards are not suitable for use or sale, which is the intent behind Deutsche Telekom AG's decision to use this solution. The company is avoiding anything that would lead to a cash outflow. If a customer does not accept the worthless card in exchange and requests that the telephone cards he or she sent in are returned, the cards are returned in a damaged state. Deutsche Telekom AG refuses to pay damages as it considers itself to be above the law when it comes to ownership rights. Deutsche Telekom AG customers are not entitled to have rights.

From the beginning of August 2013 until the end of November 2013, Deutsche Telekom AG took advantage of the situation for holders of "Umtauschkarten Plus" cards by offering to exchange them for "Comfort" cards with a voluntary 4:1 debt haircut. By waiving these claims, Deutsche Telekom AG was able to substantially reduce its provisions for unused phone credit – by 75 % – with corresponding extraordinary income from the reversal of provisions. This exchange plan, which was not advantageous for customers, was advertisedwith the promise that the new cards had a wider range of uses, with particular emphasis on the payment function via the Deutsche Telekom AG musicload.de, videoload.deand gamesload.de Internet platforms. As is now known, these platforms have since been sold (gamesload.de and musicload.de) or are the subject of sales negotiations (videoload.de). As the sale of a company requires a long period of preparation, it can be presumed that Deutsche Telekom AG was already aware during the exchange offer of the fact that the services promised would only be available for a short time. The payment feature promised with the "Comfort" telephone card is no longer available after the sale. This is yet another example of Deutsche Telekom AG deliberately misleading its customers. On February 16, 2014, I wrote to the Chairman of the Board of Management of Deutsche Telekom AG in connection with this matter. As yet, I have received no response from the Board."

„Die Ausschüttung der Dividende von Euro 0,50 je dividendenberechtigter Stückaktie erfolgt in bar am Folgetage der Hauptversammlung 16.05.2014 (Ex-Dividenden-Tag).“

Begründung:

Die vom Vorstand und Aufsichtsrat erneut vorgeschlagene alternative Ausschüttung als Bardividende oder Sachdividende in Form von Aktien der Deutsche Telekom AG verfolgt als einziges Ziel die Auszahlung der Dividende an die Aktionäre um fast einen Monat hinauszuzögern. Aufgrund des für die Akti-näre unattraktiven Angebots zum Bezug neuer Aktien ist davon auszugehen, dass – ähnlich dem Vorjahr - nur eine sehr geringe Anzahl der Aktionäre von der Sachdividende Gebrauch machen werden.

Gegenantrag zu Tagesordnungspunkt 3

„Den Mitgliedern des Vorstands wird die Entlastung für das Geschäftsjahr 2013 versagt.“

Begründung:

Die Deutsche Telekom AG unterliegt dem Deutschen Corporate Governance Kodex sowie dem eigenen „Ethikkodex für Senior Financial Officer/MD/FD“. Der Konzern verpflichtet das Management, sich im Rahmen des Geschäftsverkehrs und bei der Erfüllung ihrer jeweiligen Pflichten jederzeit und in allen Belangen redlich und ethisch zu verhalten. Das Management hat an seinen Umgang mit Mitarbeitern, Investoren, Kunden Lieferanten sowie mit öffentlichen Stellen an allen Unternehmensstandorten hohe Maßstäbe anzulegen.

Diesen Anspruch wird das Unternehmen jedoch in keiner Weise gerecht.

Im Rahmen des Umtauschanspruchs von Kunden aus Verträgen mit DM-Telefonkarten unternimmt das Unternehmen alles um diese berechtigten Forderungen für die Kunden so wertlos wie möglich zu gestalten. So wird das unverbrauchte Restguthaben auf nennwertlose „Umtauschkarten Plus“ geladen, auf denen für die Kunden weder der Wert der auf der Karte gespeicherten Guthaben noch die Nutzungsdauer der Karten ersichtlich sind. Alle diese Daten sind nur auf dem Rechner der Deutsche Telekom AG gespeichert und können ohne Kontrolle durch Dritte durch die Deutsche Telekom AG jederzeit verändert werden. Derartige Karten sind nicht für die Nutzung und den Verkauf geeignet, was das Ziel der Vorgehensweise der Deutsche Telekom AG ist. Es wird alles vermieden was zu einem Cash-Abfluss aus dem Unternehmen führt. Akzeptiert ein Kunde die umgetauschten wertlosen Karten nicht und fordert seine eingereichten Telefonkarten zurück werden diese Karten in beschädigtem Zustand zu-rückgegeben. Ein Schadensersatz wird verweigert, da die Deutsche Telekom AG sich über die Eigen-tumsreche der Kunden hinweg setzt. Rechte stehen Kunde der Deutsche Telekom AG nicht zu.

Anfang August 2013 und befristet bis Ende November 2013 hatte die Deutsche Telekom AG in Ausnutzung dieses Umstands den Eigentümern von „Umtauschkarten Plus“ das Angebot gemacht diese im Rahmen eines freiwilligen Schuldenschnitts im Verhältnis 4 : 1 in „Comfort Telefonkarten“ umzutauschen. Dieser Gläubigerverzicht erbrachte für die Deutsche Telekom AG eine deutliche Reduzierung der Rückstellungen für unverbrauchte Telefonguthaben um 75% und ein entsprechendes außer-ordentliche Ergebnis aus der Auflösung der Rückstellungen. Beworben wurde dieser für die Kunden ungünstige Umtausch mit der Zusicherung, dass die neuen Karten eine verbreiterte Nutzungsmöglichkeit bieten, insbesondere wurde auf die Nutzungsmöglichkeit als Bezahlfunktion auf den Internetplattformen der Deutsche Telekom AG „musicload.de“, „videoload.de“ und „gamesload.de“. Wie inzwischen bekannt ist, wurden diese Plattformen zwischenzeitlich verkauft („gamesload.de“ und „music-load.de“) bzw. es laufen entsprechende Verkaufsverhandlungen („videoload.de“). Da Unternehmensverkäufe langfristig vorbereitet werden, kann unterstellt werden, dass zum Zeitpunkt der Umtauschaktion der Deutsche Telekom AG bereits bekannt war, dass die versprochenen Leistungen nur von kurzer Dauer sind. Die Nutzungsmöglichkeit der versprochenen Bezahlfunktion der „Telefonkarte Comfort“ ist nach dem Verkauf nicht mehr gegeben. Die Kunden wurden somit von der Deutsche Telekom AG ein weiteres Mal vorsätzlich getäuscht. Hierauf hatte ich am 16.02.2014 u.a. den Vorstandvorsitzende der Deutsche Telekom AG angeschrieben. Eine Antwort seitens des Vorstands zu diesem Thema steht bis heute aus.“

Dear Sir/Madam,

Telekom, in its dealings with customers, now has a form of transaction management that only allows the customer to process one step of his or her problem together with Telekom. Telekom itself appears to take no interest whatsoever in resolving customer problems or coordinating a customer order. It only acts when called by the customer, and only processes individual steps, such as providing an access ID. Even then, these steps are carried out incorrectly – for example, the access ID is sent as a protected PDF file, but the password to open the file is not provided. If the access ID is part of an IP bundle, no check is done to establish whether the access ID is telephony-capable, and even when the customer actively asks, this crucial check is still not carried out. Even when asked by the customer, technical questions about connecting units at the customer end are answered incorrectly.

What is more, customer order processing is completely chaotic. For some unapparent reason, customer orders are entered, then canceled, and often left unprocessed or are processed incorrectly, incompletely, and in individual steps, during which the customer is left completely uninformed. In addition, the canceled orders are not reactivated by Telekom, and only when the customer gets in touch do things start to happen. But every time this kind of process is initiated, a useless, apparently automated or semi-automated letter is sent out that usually has nothing to do with the actual situation and simply serves to generate additional pointless, annoying and time-consuming telephone calls. There is a complete lack of an end-to-end overview of a customer order, for example for "setting up an IP bundle with several call numbers." Although it is possible to get a DSL line, no check is carried out whatsoever to establish whether the associated telephony features are working. Furthermore, there is no check to determine whether the package contains all the necessary numbers or whether Telekom's lnternet Customer Center, which is vital to customer relations, is working in connection with the contract.

Letters from customers go unanswered.
Telekom's availability for its customers via its single telephone channel, the Telekom hotline, is completely inadequate. Waiting 30 or more minutes to speak to a hotline employee is not an unusual occurrence.
Telekom rarely calls back, and often hangs up in the middle of the call.

The Telekom hotline employees are often insufficiently trained, with the majority of steps they trigger either failing to solve the customer problem or being simply wrong.
The positioning of interaction with customers solely using this level of transaction management is stopping customer problems from being processed properly and in line with the requirements of the customer order and the customer's circumstances. Telekom's hotline employees simply are not up to the job of grasping all of these circumstances upon taking the call in order to trigger the correct next steps. Telekom needs to establish proactive order processing, but this is not the case at present and is just one of many major failures on the part of the Board of Management members named above.

Under the circumstances given, compliance with the provisions of the Telecommunications Act with respect to switching providers is not ensured, there is always some kind of trouble forming with customers and the media, and high costs are constantly being incurred for the repeated processing of customer orders.

As key functions of Telekom's core business are either lacking entirely in this respect or being performed extremely poorly, I request that the actions of the Chairmen of the Board of Management, Mr. Obermann and Mr. Höttges, the Board member for Germany, Mr. Niek Jan van Damme, the Board member for Technology, Ms. Claudia Nemat, and the Board member for HR, Ms. Marion Schick, are not approved.

die Telekom ist heute in der Interaktion mit ihren Kunden ausgerichtet auf ein Transaktionsmanagement, in dem der Kunde immer nur einen Schritt seines Problems zusammen mit der Telekom bearbeiten kann.

Die Telekom selbst hat offensichtlich keinerlei eigene Stellen zur Lösung der Kundenprobleme oder zur Koordination eines Kundenauftrags. Sie wird nur tätig, wenn der Kunde anruft. Bearbeitet werden nur einzelne Schritte, wie zum Beispiel Zustellung einer Zugangskennung. Auch solche Schritte werden fehlerhaft ausgeführt, zum Beispiel wird die Zugangskennung in einem geschützten PDF versendet, jedoch wird der zugehörige Schlüssel nicht verschickt. Ist die Zugangskennung Teil eines IP-Pakets wird nicht geprüft, ob diese Zugangskennung telefoniefähig ist, selbst wenn der Kunde nachfrägt, wird diese essentielle Prüfung unterlassen. Selbst auf Nachfrage durch den Kunden werden technische Fragen zum Anschluss von Geräten beim Kunden falsch beantwortet.

Auch die Bearbeitung von Kundenaufträgen ist völlig chaotisch. Kundenaufträge werden aus nicht ersichtlichen Gründen zuerst eingestellt und dann storniert und oft nicht, oder nur fehler- und lückenhaft und nur in Einzelschritten bearbeitet, dies alles, ohne Benachrichtigung des Kunden. Auch werden die stornierten Aufträge von der Telekom nicht wieder aufgenommen, nur wenn der Kunde sich meldet, geht es weiter. Dagegen wird bei jedem Start eines solchen Vorgangs ein sinnloses, offensichtlich automatisch oder halbautomatisch erstelltes Schreiben losgeschickt, das meist mit der jeweiligen Situation nichts zu tun hat, sondern nur seinerseits für weitere sinnlose, ärgerliche und aufwändige Telefonate sorgt. Eine Gesamtsicht eines Kundenauftrags, zum Beispiel ,,Einrichtung eines IP-Pakets mit mehreren Rufnummern" fehlt völlig. Es ist zwar möglich, zum Beispiel einen DSL-Anschluss zu bekommen, es findet aber keinerlei Prüfung statt, ob die dazugehörige Telefonie funktioniert. Weiter wird nicht kontrolliert, ob das Paket alle Nummern enthält, oder ob das Telekom-lnternet-Kundencenter, das für das Kundenverhältnis essentiell ist, für den Vertrag funktionsfähig ist.

Schreiben von Kunden werden nicht beantwortet.
Die Erreichbarkeit der Telekom für den Kunden über den einzigen telefonischen Kanal, den dieser hat, die Telekom-Hotline, ist völlig unzureichend. Oft entstehen Wartezeiten von 30 Minuten und mehr, bis überhaupt ein Hotline-Mitarbeiter erreicht werden kann.

Selten ruft die Telekom zurück, dann wird oft während des Gesprächs seitens der Telekom aufgelegt.

Die Telekom-Hotline-Mitarbeiter sind sehr oft nicht ausreichend kompetent, die Mehrzahl der eingeleiteten Schritte lösen nicht das Kundenproblem oder sind schlicht falsch.

Die ausschließliche Festlegung der Interaktion mit dem Kunden auf dieses Transaktionsmanagement hat zur Folge, dass eine fundierte Bearbeitung, orientiert an den Gegebenheiten des Kundenauftrags und der beim Kunden bestehenden Umstände, nicht statt finden kann. Die Telekom-Hotline­Mitarbeiter sind schlicht überfordert, wenn sie sofort beim Anruf alle diese Umstände erfassen sollen, um dann die richtigen weiteren Schritte einzuleiten. Hier ist eine proaktive Auftragsbearbeitung durch die Telekom nötig, die aber heute nicht vorhanden ist und neben anderem ein großes Versäumnis der genannten Vorstände darstellt.

Unter diesen Umständen ist die Einhaltung der Bestimmungen des Telekommunikationsgesetz zum Anbieterwechselnicht gewährleistet, es entsteht ständig Ärger mit den Kunden und der Presse, und es entstehen laufend hohe Kosten wegen Vielfachbearbeitung der Kundenaufträge.

Da hier wesentliche Funktionen des Kerngeschäfts der Telekom ganz fehlen oder äußerst lückenhaft ausgeführt werden, beantrage ich, den Vorstandsvorsitzenden Herrn Obermann und Herrn Höttges, den Deutschland-Vorstand Herrn Niek Jan van Damme, den Technik-Vorstand, Frau Claudia Nemat, und den Personalvorstand, Frau Marion Schick, nicht zu entlasten.

Under § 19 (4) of the Articles of Incorporation of Deutsche Telekom AG, the shareholders' meeting is entitled to decide on a form of appropriation other than distribution among the shareholders.

2. Deutsche Telekom AG epitomizes the history of telecommunications in Germany. It has both a special responsibility to preserve this history by maintaining buildings and technology for the public and a special opportunity to combine this task with improving its reputation.

3. The Deutsche Telekom Group owns the Dresden TV tower. It is not possible to put a precise figure on the renovation work needed to make the observation deck and tower restaurant suitable for use by the public (although figures of substantially less than EUR 20 million have been mentioned). Deutsche Telekom's refusal to make this tower accessible is a permanent and regularly discussed source of irritation for the people of Dresden and reflects badly on the company's reputation.

4. The amount remaining from the reduction of the dividend per share and the costs for the Dresden TV tower should be put into a new non-profit foundation."

2. Die Deutsche Telekom AG verkörpert die Geschichte des Fernmeldewesens in Deutschland. Sie hat damit sowohl eine besondere Verantwortung bei der Bewahrung dieser Geschichte durch den Erhalt von Bauwerken und Technik für die Öffentlichkeit Als auch die besondere Chance, diese Aufgabe mit der Verbesserung ihres Rufes zu verbinden.

3. Der Dresdner Fernsehturm ist im Eigentum des Telekom-Konzerns. Es besteht ein Sanierungsaufwand in nicht genau bezifferbarer Höhe, (allerdings werden Summen von deutlich unter 20 Millionen Euro benannt), um die Aussichtsplattform und das Turmrestaurant wieder für die Öffentlichkeit nutzbar zu machen. Die bisherige Weigerung der Telekom, diesen Turm wieder zugänglich zu machen, ist für die Dresdnerinnen und Dresdner und ihre Gäste ein dauerhaftes und regelmäßig diskutiertes Ärgernis und wirkt rufschädigend für das Unternehmen.

4. Der sich ergebende überstehende Betrag aus der Reduzierung der Dividende je Aktie und den Kosten für den Dresdner Fernsehturm sollte in eine neue gemeinnützige Stiftung eingebracht werden."

"Counter-motions for the shareholders' meeting in Cologne on May 16, 2013

  • The resolution regarding approval of the actions of the members of the Board of Management, agenda item 3, and of the Supervisory Board, agenda item 4, not be adopted for the 2012 financial year on account of insufficient ability to manage a stock corporation (AG) like Deutsche Telekom successfully and losses incurred by shareholders as a result of their negligent actions (share price and business trends)
  • The resolution regarding election of members of the Supervisory Board, agenda item 6 and agenda item 7, not be adopted on account of inadequate communication on how they intend to fulfill their future duties in the corporation effectively in order to achieve long-term business success and, as a result, significantly raise the company's share price
  • The proposal put forward by Management on a change to the remuneration for Supervisory Board members, agenda item 8, not be passed on account of the evident lack of success and deliberate actions having a negative effect on investment capital

Reasons:
In the 2012 financial year, the negligent actions of the executive bodies, Board of Management and Supervisory Board yet again caused lasting damage to Deutsche Telekom AG, see share price and business developments. Their own remuneration has not suffered adequately as a result and there has as yet not been any damage to what they consider to be their 'good' reputation. The issue of redress must be addressed.
Adverse and unfair means are used in the acquisition of customers in the T-Points. For example, a new contract customer is offered a Call&Surf 50-Mbit plan in the fixed network which, however, cannot be supplied for a transitional period (1-2 months) due to a temporary shortage of a technical part. The customer is therefore granted a slight monthly reduction on his rate, which is only valid for the period during which the shortage exists.
In actual fact, according to the DTAG hotline, in response to an e-mail inquiry/complaint submitted to Investor Relations, there are no plans for providing a 50-Mbit fixed-network service. This circumstance was also reflected in a customer survey which Deutsche Telekom AG conducted on the phone. Recission of the contract (2-year term) was not offered as a goodwill gesture.
Applying such a strategy during customer acquisition to ensure that customers do not sign up with a competitor offering a better service, in this case Kabel BW, is not trustworthy and ultimately leads to today's ongoing customer churn.
It also shows that management can no longer keep track of and no longer has control over the company's business.

I hereby call on the shareholders to support me in my counter-motions and to vote as I have proposed.

Begründung:
Die Organe, Vorstand und Aufsichtrat, haben der Dt. Telekom AG im Geschäftsjahe 2012 zum wiederholten Male leichtfertig nachhaltigen Schaden zugefügt, s. die Kurs- und Geschäftsentwicklung. Ihre eigenen Vergütungen haben darunter nicht adäquat gelitten und ihre vermeintliche Reputation hat dadurch bisher keinen Schaden genommen. Es ist die Frage nach Regress zu stellen.
Bei der Kunden Aquirierung wird in den T-Points mit widrigen, unlauteren Mitteln gearbeitet. Da wird einem neuen Vertragkunden eine Call&Surfe 50 Mbit leistung im Festnetz offeriert, die aber vorübergehend (ca. 1-2 Monate), wg. temporären Mangel an einem technischen Bauteil, nicht erbracht werden kann. Dafür wird eine geringer monatl. Beitagssatzminderung, auch nur für die Mangelzeit geltend, eingeräumt.
In Wahrheit ist lt. der Auskunft der Dt.Telkom AG, auf eMail-Nachfrage/Beschwerde beim Investor Relations, gar nicht vorgesehen das Festnetzangebot mit Mbit 50 zu leisten. Dieser Umstand wurde auch bei einer telefonischen Kundenumfrage der Dt. Telekom AG aufgezeigt. Eine Kulanz der Vertagsauflösung (Dauer 2 Jahre) wurde nicht angeboten. Solche Vorgehensweisen bei der Kundengenerierung, damit dieser bloss nicht zur leistungfähigeren Konkurrenz, hier Kabel BW, geht, ist unseriös und führt letztendlich zum bestehenden laufenden Kundenschwund.
Er zeigt aber auch, dass die Geschäftsführung den Überblick verloren und die Sache nicht im Griff hat.

Ich bitte die Aktionäre mich bei meinen Gegenanträgen zu unterstützen und wie von mir vorgeschlagen zu stimmen.

Contrary to the recommendation made by the Board of Management and the Supervisory Board on item 8 on the agenda of the shareholders' meeting to take place on May 16, 2013 in Cologne, I propose the following:
a) § 13 of the Articles of Incorporation shall be amended as follows:

"§ 13 Remuneration

(1) In addition to reimbursement for cash expenses pursuant to (5) hereof and value-added tax paid on remuneration and expenses, the members of the Supervisory Board shall receive fixed annual remuneration of EUR 24,000.00.

(2) The Chairman of the Supervisory Board receives double, the Deputy Chairman and the committee chairpersons one and a half times, and committee members one and a quarter times the standard Supervisory Board remuneration amount. Supervisory Board members who hold seats on several committees shall only receive remuneration for the highest paid seat.

(3) Further, members of the Supervisory Board shall receive an attendance fee amounting to EUR 50.00 for each meeting of the Supervisory Board or its committees attended by them.

(4) Members of the Supervisory Board who are on the Supervisory Board for only part of the financial year in question shall receive one twelfth of the remuneration for every full month of membership. a) The reimbursement of costs for overnight accommodation shall be limited to the amount of EUR 70.00 per night.

b) When reimbursing travel costs, care shall be taken to ensure the most cost-effective form of transport is selected in each case. Discounts on ticket prices are to be used wherever possible. A reason must be given in the event of traveling by airplane, taxi, or motor vehicle; time-saving as a reason is insufficient. Travel costs shall not be reimbursed if there is a free-of-charge transportation option available.

Costs for journeys over land or water using regularly scheduled means of transport shall be reimbursed up to the amount of the lowest class ticket. If an airplane journey is the most cost-effective way of traveling, the cost of the lowest class ticket shall be reimbursed. If a motor vehicle is used, EUR 0.20 per kilometer traveled shall be reimbursed, up to a maximum of EUR 130.00.

c) Meal costs shall not be reimbursed.

d) Other costs or incidental expenses shall not be reimbursed.

a) § 13 der Satzung wird wie folgt neu gefasst:

"§ 13 Vergütung

(4) Aufsichtsratsmitglieder, die dem Aufsichtsrat nur während eines Teils des jeweiligen Geschäftsjahres angehören, erhalten für jeden vollen Monat ihrer Mitgliedschaft ein Zwölftel der Vergütung. Entsprechendes gilt für die Erhöhung der Vergütung für den Aufsichtsratsvorsitzenden und seinen Stellvertreter sowie für die Erhöhung der Vergütung für die Mitgliedschaft und den Vorsitz in einem Aufsichtsratsausschuss gemäß Absatz 2.

(5) Die Erstattung von Auslagen erfolgt im Sinne einer sparsamen und wirtschaftlichen Mittelverwendung nach folgenden Grundsätzen:

a) Die Erstattung von Auslagen für Übernachtungskosten ist auf einen Betrag von € 70,00 je Übernachtung begrenzt.

b) Bei der Erstattung von Auslagen für Fahrtkosten ist zu berücksichtigen, dass jeweils die günstigste Reisemöglichkeit zu wählen ist. Mögliche Fahrpreisermäßigungen sind zu berücksichtigen. Für die Benutzung des Flugzeugs, eines Taxis oder eines Kraftfahrzeuges ist eine Begründung erforderlich, wobei eine reine Zeitersparnis keine hinreichende Begründung ist. Fahrtkosten werden nicht erstattet, wenn eine unentgeltliche Beförderungsmöglichkeit genutzt werden kann.

Auslagen für Fahrten auf dem Land- oder Wasserweg mit regelmäßig verkehrenden Beförderungsmitteln werden bis zur Höhe der niedrigsten Beförderungsklasse erstattet. Wurde aus wirtschaftlichen Gründen ein Flugzeug benutzt, werden die Kosten der niedrigsten Flugklasse erstattet. Bei Benutzung eines Kraftfahrzeuges wird ein Betrag von € 0,20 je Kilometer zurückgelegter Strecke erstattet, höchstens jedoch € 130,00.

c) Verpflegungskosten werden nicht erstattet.

d) Sonstige Auslagen bzw. Nebenkosten werden nicht erstattet.

Begründung:
Der Gegenantrag entwickelt die von Vorstand und Aufsichtsrat vorgeschlagene Neuregelung von § 13 der Satzung im Sinne einer von der Gesellschaft wirtschaftlich vertretbaren materiellen Ausgestaltung weiter. Die im Gegenantrag vorgesehene Aufsichtsvergütung ist hinreichend."

Reasons for this proposal:

1. No action is being taken to reduce customer desertion.

2. Lack of activities to counter the negative image being generated throughout the media. This has a major impact on the price of the T-Share.

Too often, mistakes, grievances, permanent unfriendliness of customer service staff and even "they just do nothing" can be heard, seen and read about in a broad range of different media.

There is a total lack of proper supervision on site, for the 'small guy' by people who sit at the drawing board and/but take home vast pay packets.

3. Poor, sometimes atrociously bad business conduct - not what is actually required in practice but straight from the classroom - characterizes the 'non-image' of the Management and Supervisory Board squad and management in general. Clearly incorrect bills should, according to the principles of honest business, be cancelled immediately with no ifs and buts, and immediately prepared again correctly and replaced. Instead, people simply try to ride out deficiencies and imperfections, which is in turn tolerated by the auditors and the Supervisory Board.

But customers are not Deutsche Telekom-dependent, let alone their serfs, nor are they a Deutsche Telekom credit institution.

Those responsible in Deutsche Telekom management and administration forget at the sight of their fat pay packets that it is their job to serve.

4. Mr. Obermann and his 'comrades and courtiers' should be dismissed immediately for the reasons given under 2 and 3.

Reason: Failure to take the necessary action to make Deutsche Telekom a successful company and to guarantee service to customers on the basis of measures taken to establish supervision on site and not at the drawing board and, as a result, to lead the company back to the top of the telecommunications league.

Or has Mr. Obermann (income around EUR 2,700,000) ever, for this money, stooped to talk personally to a customer who has been let down by Deutsche Telekom and, in doing so, helped to improve the joyless image of Deutsche Telekom (or his Telekom?)?

5. Motion to appoint a new Board of Management that has not risen through the ranks of Deutsche Telekom, but should be brought in from Germany's service sector or German industry.
These people know what customers generally expect from Deutsche Telekom.

6. Cancellation of advertising for Bayern Munich.

The club and its players earn enough money to pay their own way.

Too bad about the money, since jersey and perimeter advertising is hardly likely to have won any new customers for Deutsche Telekom. This is my claim and it is bound to be correct.

Advertising would be more effective if the money were given to non-profit societies and institutions, aid campaigns and programs and, above all and this is the main point, to improve service.

That is what wins new customers."

Gründe für diesen Vorschlag:

1. Es fehlen Maßnahmen zur Verringerung der Kundenflucht.

2. Fehlende Maßnahmen zur Eindämmung der schlechten Imagebildung bei den Medien aller Art. Dies beeinflusst stark den Kurs der T-Aktie.

Zu oft sind in den verschiedensten Medien Fehler, Missstände, lange andauernde Kundendienstunfreundlichkeiten oder auch "es passiert einfach nichts", zu hören, zu sehen oder auch zu lesen.

Es fehlt einfach eine ordnungsgemäße Dienstaufsicht vor Ort, beim "kleinen Mann" durch Leute, die "am grünen Tisch" sitzen und/aber einen immensen Lohn einstreichen.

3. Schlechtes, teils miserables, nicht wie es die Praxis eigentlich fordert, sondern der Schulbank entspringendes Kaufmannsgebaren prägt das Nichtansehen der Führungs- und Aufsichtsriege und des gesamten Management. Rechnungen, die eindeutig falsch sind, sollten nach alter Kaufmannsehre sofort und ohne wenn und aber storniert und sofort korrekt erstellt und ersetzt werden. Man versucht jedoch, die Mängel und Unvollkommenheiten einfach auszusitzen, was einfach durch die Prüfer und den Aufsichtsrat toleriert wird.

Der Kunde ist aber kein Telekom - Abhängiger, geschweige denn ein Leibeigener und auch kein Kreditinstitut der Telekom.

Die Verantwortlichen der Telekom - Führung und Verwaltung vergessen vor lauter "Lohn einstreichen", dass sie eine dienende Funktion haben.

4. Wegen der Punkte 2 und 3 sollte die sofortige Entlassung des H. Obermann und seiner Mitstreiter und Höflingen beschlossen werden.

Grund, Unterlassung von entsprechenden Maßnahmen, die die Telekom zu einem fitten Unternehmen machen und den Service gegenüber den Kunden durch Dienstaufsicht führenden Maßnahmen direkt vor Ort und nicht am grünen Tisch und dadurch wieder an die Spitze aller Telekommunikationsunternehmen führt.

Oder hat sich Herr Obermann (Verdienst ca. 2 700000.- €) für dieses Gehalt schon einmal herabgelassen, einen von der Telekom im Stich gelassenen Kunden persönlich zu befragen und so dazu beigetragen, das unerfreuliche Image der Telekom (oder seiner Telekom?) zu verbessern?

5. Beschluss zur Verpflichtung eines neuen Vorstandes, welcher nicht aus der Telekom aufsteigt sondern, aus dem deutschen Dienstleistungssektor oder der deutschen Industrie kommen sollte.
Diese Damen oder Herren wissen im allgemeinen was die Kunden von der Telekom erwarten.

6. Abbrechen der Werbung bei Bayern München.

Der Verein und seine Spieler verdienen genügend Geld um sich selber zu tragen.

Schade ums Geld, denn durch diese Trikot oder Bandenwerbung ist wohl bisher kaum ein Neukunde für die Telekom geworben worden. Ich behaupte das und habe mit meiner Behauptung garantiert Recht.

Werbewirksamer wäre, das Werbegeld gemeinnützigen Vereinen und Institutionen, Hilfsaktionen und Hilfsprogrammen zur Verfügung zu stellen und vor allem und das ist der Hauptpunkt, den Service zu verbessern.

With EUR 19.3 billion, the Group stabilized its adjusted EBITDA at around the prior-year level of EUR 19.4 billion and even surpassed its target of approximately EUR 19 billion.
